1. General Information
These Terms of Service ("Terms") govern the access to and use of the Dive Listings platform available at:
www.DiveListings.com
The platform is owned and operated by:

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Platform.
2. Definitions
Platform means the Dive Listings website available at www.DiveListings.com.
Operator means Necsaris Group.
User means any individual, business entity, organization, or other party accessing or using the Platform.
Seller means a User who publishes a listing on the Platform.
Buyer means a User who views, contacts, or responds to listings on the Platform.
Listing means any advertisement, content, information, image, or material published on the Platform relating to the sale, purchase, investment, partnership, or other business opportunity within the diving industry.
3. Nature of the Platform
Dive Listings is a global online marketplace dedicated to the diving industry.
The Platform allows Users to publish and browse listings related to, including but not limited to:
- Dive Centers
- Dive Boats
- Liveaboards
- Business Partnerships
- Professional Dive Equipment
- Other diving-related businesses and assets
The Operator is not:
- a broker;
- an agent;
- a dealer;
- an intermediary;
- a financial advisor;
- a tax advisor;
- a legal advisor; or
- a party to any transaction between Users.
The Operator does not participate in negotiations between Users and does not receive commissions from completed transactions.
Dive Listings provides advertising and listing services only.
4. Eligibility
The Platform may only be used by persons who:
- are at least 18 years of age;
- have the legal capacity to enter into binding agreements; and
- comply with applicable laws and regulations.
Users are responsible for ensuring that all information provided during registration and use of the Platform is accurate, complete, and up to date.
5. User Accounts
Creating an account may be required in order to publish Listings or access certain features of the Platform.
Users agree to:
- provide accurate information;
- keep account information updated;
- maintain the confidentiality of login credentials;
- prevent unauthorized access to their account; and
- immediately notify the Operator of any suspected security breach.
Users are solely responsible for all activities conducted through their account.
6. Publishing Listings
By publishing a Listing, the User represents and warrants that:
- they have the legal right to publish the content;
- they have the authority to sell, advertise, or represent the business, asset, equipment, or opportunity described;
- all information provided is accurate and truthful;
- the content does not violate any law or third-party rights.
The Operator reserves the right to reject, suspend, edit, or remove any Listing at its sole discretion if it believes that the Listing violates these Terms, applicable law, or the rights of third parties.
7. Listing Fees
Publication of Listings may require payment of fees according to the pricing plans displayed on the Platform.
All fees paid to the Operator relate solely to the publication, promotion, and display of Listings.
The Operator:
- does not receive commissions on sales;
- does not participate in transactions;
- does not charge fees based on transaction value.
Unless required by law, all Listing fees are non-refundable.
The removal of a Listing by the User or the successful sale of an asset before the Listing expires does not entitle the User to a refund.
8. Prohibited Content and Activities
Users may not publish or engage in:
- false or misleading information;
- fraudulent Listings;
- illegal content;
- discriminatory, abusive, or offensive content;
- copyright or trademark infringement;
- malware or harmful code;
- spam or unsolicited communications.
Users may not:
- impersonate another person or entity;
- attempt unauthorized access to the Platform;
- manipulate search results or listing rankings;
- publish fictitious offers;
- use the Platform for money laundering, fraud, or unlawful activities.
9. Seller Responsibilities
Sellers are solely responsible for:
- the accuracy of Listings;
- photographs and media;
- pricing information;
- business descriptions;
- ownership claims;
- compliance with applicable laws and regulations.
The Operator does not independently verify all information published by Users.
10. Buyer Responsibilities
Buyers are solely responsible for conducting their own due diligence before entering into any transaction.
The Operator strongly recommends that Buyers obtain appropriate legal, financial, tax, and technical advice before purchasing any business, vessel, equipment, partnership interest, or other asset.
All purchasing and investment decisions are made entirely at the Buyer's own risk.
11. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis.
To the fullest extent permitted by applicable law, the Operator makes no representations or warranties, express or implied, regarding:
- the accuracy of Listings;
- the quality, condition, or legality of any asset advertised on the Platform;
- the reliability of information provided by Users;
- the completion of any transaction;
- uninterrupted or error-free operation of the Platform;
- the availability of the Platform at all times.
Users acknowledge that they use the Platform entirely at their own risk.
12. Limitation of Liability
To the maximum extent permitted by law, the Operator shall not be liable for:
- loss of profits;
- loss of revenue;
- loss of business opportunities;
- loss of goodwill;
- loss of data;
- indirect damages;
- incidental damages;
- consequential damages;
- punitive damages;
- disputes between Users;
- failed transactions;
- misrepresentations made by Users.
Under no circumstances shall the total liability of the Operator exceed the total amount paid by the User to the Operator during the twelve (12) months preceding the event giving rise to the claim.
13. Intellectual Property Rights
All intellectual property rights relating to the Platform, including but not limited to:
- the Dive Listings name;
- logos;
- trademarks;
- website design;
- software;
- source code;
- databases;
- graphics;
- written content;
are owned by the Operator or its licensors and are protected by applicable intellectual property laws.
No content from the Platform may be copied, reproduced, modified, distributed, or commercially exploited without the prior written consent of the Operator.
14. User Content License
Users retain ownership of the content they submit to the Platform.
By publishing content on the Platform, Users grant the Operator a worldwide, non-exclusive, royalty-free, transferable license to:
- host;
- store;
- display;
- reproduce;
- publish;
- distribute;
- promote;
such content for the purpose of operating, marketing, improving, and promoting the Platform.
This license remains in effect for as long as the content is available on the Platform and for a reasonable period thereafter for backup, legal, and archival purposes.
15. Sold Listings and Limited Continued Display
If a Listing published on the Platform is sold, transferred, acquired, completed, or otherwise no longer available as a result of a successful transaction, the Operator may mark the Listing as "SOLD" and continue to display a limited version of the Listing on the Platform.
The purpose of displaying a limited SOLD version is to show marketplace activity, platform credibility, and examples of successful outcomes achieved through or in connection with the Platform.
After a Listing is marked as SOLD, the Operator may remove, hide, anonymise, or restrict access to sensitive, confidential, commercial, or identifying information, including but not limited to:
- business name;
- seller name;
- telephone numbers;
- email addresses;
- website addresses;
- social media profiles;
- exact location;
- detailed business description;
- financial information;
- transaction-related details.
The limited SOLD version of the Listing may include only selected non-sensitive information, such as:
- the Listing title or a shortened version of the title;
- general category;
- short summary;
- main image or representative image;
- SOLD label or similar status indicator;
- general location information, where appropriate.
By publishing a Listing on the Platform, the Seller acknowledges and agrees that the Operator may continue to display such limited SOLD information after the Listing has been sold, expired, removed from active sale, or otherwise completed.
The Seller may contact the Operator if they believe that a SOLD Listing contains personal data, confidential information, or information that should reasonably be removed or further anonymised. The Operator will review such requests within a reasonable timeframe and may remove, edit, anonymise, or restrict the relevant information where appropriate or where required by applicable law.
A SOLD Listing is not an active offer for sale and does not indicate that the business, asset, equipment, or opportunity remains available.
16. Reporting Violations
Users may report content that they believe:
- violates applicable laws;
- infringes intellectual property rights;
- constitutes fraud;
- contains false or misleading information;
- violates these Terms.

The Operator will review reports within a reasonable timeframe and may take appropriate action where necessary.
17. Suspension and Termination of Accounts
The Operator reserves the right to suspend, restrict, or permanently terminate any User account if the User:
- violates these Terms;
- engages in unlawful activities;
- submits false information;
- publishes fraudulent Listings;
- harms the Platform or other Users;
- attempts to circumvent Platform policies.
The Operator may take such action without prior notice where reasonably necessary to protect the Platform, its Users, or its legal interests.
18. Privacy and Data Protection
The processing of personal data is governed by the Platform's Privacy Policy.
By using the Platform, Users acknowledge and agree that their personal data may be collected, processed, stored, and transferred in accordance with the Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR), where applicable.
19. International Users
Dive Listings is a global marketplace available to Users worldwide.
Users are solely responsible for ensuring that their use of the Platform complies with the laws, regulations, licensing requirements, and tax obligations applicable in their jurisdiction.
The Operator makes no representation that the Platform or its content is appropriate or lawful in every jurisdiction.
20. Digital Services Act (DSA) Compliance
Where applicable, the Operator complies with the requirements of Regulation (EU) 2022/2065 (Digital Services Act).
Users may notify the Operator of content they believe to be illegal or in violation of these Terms.
The Operator reserves the right to:
- remove illegal content;
- restrict visibility of content;
- suspend accounts;
- terminate accounts;
- take any action required by applicable law.
Content moderation decisions will be made in a reasonable, proportionate, and non-discriminatory manner.
21. Notice and Action Procedure
When reporting allegedly illegal or prohibited content, Users should provide:
- their contact information;
- identification of the relevant Listing or content;
- the URL of the content, if available;
- a description of the alleged violation;
- supporting evidence where available.
The Operator may request additional information before taking action.
Submitting knowingly false reports may result in account restrictions or other appropriate measures.
22. Refund Policy
Unless otherwise required by applicable law, all fees paid for Listings, promotions, advertising services, subscriptions, featured placements, or any other paid services offered through the Platform are non-refundable.
Refunds will generally not be granted in cases including, but not limited to:
- the sale of an asset before the Listing expires;
- voluntary removal of a Listing by the User;
- lack of inquiries, leads, or buyer interest;
- dissatisfaction with the results of a Listing;
- a change of mind by the User;
- failure to complete a transaction with another User.
The Operator may, at its sole discretion, issue a refund in exceptional circumstances, including:
- duplicate payments;
- technical errors directly attributable to the Platform;
- unauthorized transactions confirmed by the payment provider.
Any refund approved by the Operator shall be processed using the original payment method whenever reasonably possible.
23. Chargebacks and Payment Disputes
If a User initiates a chargeback, payment reversal, or payment dispute with a bank, credit card provider, or payment processor, the Operator reserves the right to:
- suspend or restrict the User's account;
- remove active Listings;
- terminate access to paid services;
- recover any unpaid amounts;
- provide relevant documentation and evidence to the payment provider.
The User agrees that filing an unjustified chargeback after receiving the purchased service may constitute a breach of these Terms.
24. No Guarantee of Sale or Business Results
The Operator does not guarantee:
- the sale of any business, vessel, equipment, or asset;
- the acquisition of investors or business partners;
- receipt of inquiries or offers;
- a specific number of views, leads, or contacts;
- any increase in business opportunities;
- any financial outcome or business result.
Users acknowledge that the Platform provides advertising and marketplace services only and does not guarantee commercial success.
25. Force Majeure
The Operator shall not be liable for any delay, interruption, failure, or inability to perform obligations under these Terms resulting from circumstances beyond its reasonable control.
Such circumstances may include, but are not limited to:
- natural disasters;
- floods;
- fires;
- earthquakes;
- epidemics or pandemics;
- acts of war;
- terrorism;
- civil unrest;
- cyberattacks;
- power failures;
- internet outages;
- failures of third-party service providers;
- government actions or regulations.
During any force majeure event, the Operator's obligations shall be suspended to the extent affected by such event.
26. Dispute Resolution
Before commencing legal proceedings, the parties agree to attempt in good faith to resolve any dispute through informal negotiations.
Users may submit complaints, concerns, or disputes by contacting:
The Operator will make reasonable efforts to review and respond within a reasonable timeframe.
Nothing in this section shall prevent either party from seeking urgent legal remedies where necessary.
27. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court or competent authority, that provision shall be deemed severed from the remaining Terms.
The remaining provisions shall remain valid, enforceable, and in full force and effect.
28. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Listing Guidelines, and any additional policies published on the Platform, constitute the entire agreement between the User and the Operator regarding the use of the Platform.
They supersede all prior agreements, understandings, communications, and representations relating to the Platform.
29. Amendments to These Terms
The Operator reserves the right to modify, update, or replace these Terms at any time.
Updated versions will be published on the Platform together with the revised "Last Updated" date.
Continued use of the Platform following the publication of revised Terms constitutes acceptance of the updated Terms.
Users are encouraged to review these Terms periodically.
30. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or its use shall be subject to the exclusive jurisdiction of the courts of Spain, unless mandatory consumer protection laws provide otherwise.
Users expressly agree to submit to the jurisdiction of such courts.
